1. Acceptance of Terms and Service Usage

By registering, accessing, or using the OneK platform, you agree to be bound by these Terms of Service. OneK provides e-commerce market intelligence, store analytics, and product research tools. Your use of the service (including free accounts and paid subscription plans) must comply with all applicable laws and the provisions of these terms.

2. Account Tiers, Subscription Plans, and Billing

We offer free accounts (Free) and various paid tiers with a transparent fee structure:

• Free Plan: You may create a free account for perpetual access to basic data features and daily search limits.
• Regular Subscriptions: Depending on your selected plan (e.g., Basic or Pro), subscription fees are billed automatically on a recurring basis (monthly or annually) at the end of each billing cycle.
• Lifetime Buyout: For the limited-release Founding Member Lifetime Edition, a one-time payment permanently waives recurring fees for that specific tier.
• Strict Refund Policy: Because you immediately access highly proprietary market intelligence data upon subscribing and consume intensive server compute nodes in real-time, we issue no refunds of any kind (including for downgrades, partial unused subscription time, and the Lifetime buyout edition).
• Downgrades and Cancellations: You may cancel auto-renewal at any time. Downgrades or cancellations will take effect at the end of your current billing cycle. You retain your premium access until the end of the cycle, and downgrades do not provide cash refunds.
• There are no hidden fees for the features included in your active subscription tier. All payment transactions are securely processed via our authorized payment gateways.

Failure to process your recurring payment will result in an automatic downgrade or suspension of your account access.

3. AI Service Usage and Compute Limits

For paid plans that include the AI Chat feature (the Free tier currently does not offer this function), the following specific rules apply:

• Billing Logic: AI Chat covers the usage of the AI Page and the Website Widget. Each question submitted counts as one request and deducts 1 AI Chat Credit.
• Frequency & Concurrency Limits: To ensure overall system stability and equitable compute allocation for all users, we enforce limits on concurrent and overall usage rates: In any 3-day period, your point usage cannot exceed 20% of your total monthly credits. This mechanism prevents malicious short-term over-extraction. Violating these frequency limits may result in temporary service restrictions.

4. Founding Member Lifetime Edition Exclusive Terms

If you purchased the limited-release Founding Member Lifetime Edition, you must comply with the following exclusive agreements in addition to the rest of these terms:

• Definition of Rights: "Lifetime" means that as long as the OneK platform continues to operate, your account will not be subject to renewal fees. You are buying the rights to the "Basic Edition." Future feature updates, algorithm upgrades, and UI iterations classified under the Basic tier will automatically and freely be included.
• Advanced Features Excluded: If we release advanced features specifically tailored for the Pro tier (e.g., advanced multi-model matrices) or Enterprise tier (e.g., team collaboration), these premium capabilities are not included in the basic buyout scope.
• No Transfers or Alterations: The Lifetime spot is a one-time buyout privilege and does not support any form of upgrade, downgrade, or transfer. The lifetime rights are strictly bound to the specific account used at the time of purchase.

5. Data Accuracy and Estimates

OneK provides traffic estimations and revenue estimates based on advanced algorithms and market analysis. These metrics serve as estimations and guidelines only, not guarantees of absolute accuracy. We are not liable for any business decisions or financial losses resulting from the use of our data.

6. Fair Use and Zero-Tolerance Abuse Policy

To ensure platform stability for all users, OneK strictly enforces a Fair Use Policy. Severe abuse of our services will result in an immediate, permanent account ban without warning or refund. Abusive behaviors include, but are not limited to: utilizing automated bots/scripts to scrape our database, attempting to bypass API or AI compute rate limits, executing malicious attacks, or systematically extracting platform data for competitive purposes.

7. Account Security and Sharing

Unless you subscribe to an Enterprise plan that explicitly supports team collaboration and multi-account management, your OneK account is strictly for your individual use. Sharing account credentials (usernames and passwords) with unauthorized third parties or on public forums is strictly prohibited. Our system actively monitors for concurrent logins from suspicious IPs, and violations will trigger automatic account locks.

8. Intellectual Property Rights

The OneK platform, including its codebase, proprietary algorithms, UI/UX designs, and aggregated database structures, are the exclusive intellectual property of OneK. You may use our insights for your personal e-commerce business, but you may not resell, redistribute, or white-label our services or raw data.

9. User-Generated Data and Saved Items

While using OneK, you may create saved lists of products, stores, and custom filters. We securely store this data to provide a seamless user experience. We reserve the right to delete saved data from inactive or expired accounts after a reasonable period of time to optimize server performance.

10. Consequences for Terms Violation and Account Bans

If a user is found to be abusing the system, sharing accounts, or violating any terms listed above, the following consequences will be enforced immediately:

• Immediate and permanent suspension of the user's account and associated IP address
• Complete forfeiture of any remaining subscription time or lifetime rights (No refunds will be issued)
• Potential legal action for damages if the abuse involves massive data theft or infrastructure disruption

11. Third-Party Links and Store Data

Our platform displays links and data referencing third-party e-commerce stores (e.g., Shopify merchants). OneK is not affiliated with, endorsed by, or responsible for the content, products, or legal compliance of these external websites. Clicking outbound links is at your own risk.

12. Indemnification

You agree to indemnify and hold harmless OneK, its officers, employees, and affiliates from any claims, damages, or legal expenses arising out of your use of the platform, your violation of these Terms, or your infringement of any third-party rights (including product patents or copyrights you discover via our tool).

13. Disclaimer of Warranties

OneK's services are provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, completely error-free, or entirely secure. We disclaim all warranties, express or implied, including any warranties of merchantability or fitness for a particular e-commerce strategy.

14. Modification of Terms

OneK reserves the right to modify these terms and conditions at any time, with changes becoming effective immediately upon posting on our website. Continued use of our subscription and services after such modifications constitutes your formal acceptance of the updated terms.

15. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where OneK is registered, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
